TERMS AND CONDITIONS

BASIC PROVISIONS
These Terms and Conditions govern the mutual rights and obligations between the seller and the buyer arising in connection with the conclusion of purchase agreements through the online store operated on the website www.best-opava.com.

These Terms and Conditions form an integral part of the purchase agreement.
Provisions differing from these Terms and Conditions may be agreed in the purchase agreement or in an individual written agreement. Such differing provisions shall take precedence over these Terms and Conditions.
These Terms and Conditions are drawn up in the Czech language. A purchase agreement may be concluded in Czech or in another language if agreed between the seller and the buyer.
The seller may reasonably amend or supplement these Terms and Conditions. The version in force at the time the buyer submits the order shall apply to the relevant order.
DEFINITIONS
The buyer is a natural person or legal entity entering into a purchase agreement with the seller.
A consumer is a natural person who enters into a contract with the seller or otherwise deals with the seller outside the scope of their business activity or independent professional activity.
A business customer is a person entering into a purchase agreement in connection with their business activity or independent professional activity.
The online store means the ordering system available on the website www.best-opava.com.
For the purposes of these Terms and Conditions, goods means products offered by the seller through the online store, in particular day-old broiler chicks and any other products published in the current offer.
As a live animal has special significance and value and is not an ordinary item, the relevant provisions of applicable law shall apply to its sale accordingly, taking into account its nature, health and living conditions.
INFORMATION ABOUT THE GOODS
Information about the goods, their price, availability, collection date and any specific conditions is provided for each item in the online store.
Photographs of the goods are illustrative unless otherwise stated for a specific item.
Individual live animals may naturally differ in size, colour, weight, appearance or other biological characteristics. Such natural differences do not in themselves constitute a defect.
The seller does not guarantee any specific future performance, weight gain, health development or other breeding result unless such a characteristic has been expressly agreed in writing.
Breeding results depend in particular on housing conditions, temperature, feeding, watering, hygiene, biosecurity, the health status of the flock and compliance with recommended breeding practices.
Before placing an order, the buyer is required to consider whether they are able to provide the animals with appropriate conditions, care and transport.
PRICE OF THE GOODS
The price of the goods is stated for each item in the online store.
Unless stated otherwise, prices are shown in Czech crowns and include value added tax.
The price valid at the time the order is submitted shall apply to that order unless the seller and the buyer subsequently agree otherwise.
Any costs of transport, special packaging or additional services are stated during the ordering process or agreed individually with the buyer.
The seller is entitled to correct an obvious pricing error, for example where the price is clearly incorrect due to a technical or administrative error.
In the event of an obviously incorrect price, the seller is not obliged to supply the goods at that price. The seller shall inform the buyer of the error without undue delay and offer the buyer the option to confirm the order at the correct price or cancel the order free of charge.
ORDER AND CONCLUSION OF THE PURCHASE AGREEMENT
The buyer places an order mainly through the online store, or alternatively by telephone, email or another method permitted by the seller.
In the online store, the buyer selects the required goods, quantity and specific available collection date.
When ordering a larger quantity, the buyer may manually adjust the quantity in the shopping cart.
Before submitting the order, the buyer has the opportunity to review and amend the entered information and correct any errors.
By submitting the order, the buyer confirms that:
they have read these Terms and Conditions;
they have checked the information entered in the order;
they agree with the ordered quantity, price and collection date;
they have provided true and complete contact details;
they are able to arrange suitable transport and subsequent care for the ordered animals.
The buyer's order constitutes an offer to enter into a purchase agreement.
The purchase agreement is concluded when the seller accepts the order and confirms it to the email address provided by the buyer or confirms it in another demonstrable manner.
An automatic acknowledgement of receipt of the order does not necessarily constitute acceptance of the order where its content indicates that it merely confirms delivery of the order into the system.
Before confirming the order, the seller may contact the buyer to verify the ordered quantity, collection date or other information.
The seller is not obliged to accept an order, in particular in the event of:
exhaustion of the available quantity;
an incorrectly stated price;
a technical error in the online store;
doubts regarding the accuracy or completeness of the buyer's details;
a previous serious breach of obligations by the buyer;
impossibility of delivery for veterinary, health, operational or biological reasons.
The concluded purchase agreement is retained by the seller for the period necessary for its performance and for the protection of the seller's rights. The buyer is not normally provided with independent access to the archived agreement, but may request that an order confirmation be sent to them.
AVAILABILITY AND CHANGES TO THE ORDER
The quantity of day-old chicks available for individual dates is limited.
The indication that goods are available or in stock does not mean that any quantity may be ordered without restriction.
The availability of live animals depends on hatching results, the health status of the animals, veterinary requirements and other biological or operational circumstances.
The seller is entitled to reasonably change or cancel a confirmed collection date if delivery is prevented or materially hindered in particular by:
an unforeseen hatching result;
health or veterinary reasons;
an outbreak or suspected outbreak of disease;
an extraordinary measure imposed by a public authority;
failure of technical equipment;
power outage;
transport obstacles;
force majeure;
another unforeseen circumstance beyond the seller's reasonable control.
In such a case, the seller shall inform the buyer without undue delay and, depending on the circumstances, offer:
an alternative collection date;
a reasonable change in quantity;
another available performance;
or cancellation of the order and a refund of any amount already paid.
PAYMENT TERMS
The buyer shall pay the purchase price using the method stated during the ordering process or another method individually agreed with the seller.
Unless agreed otherwise, the purchase price may be paid upon personal collection of the goods.
For selected orders, particularly orders for a larger quantity, the seller may require payment of a deposit or the full purchase price in advance.
If the buyer fails to pay the required deposit or purchase price within the specified period, the seller may cancel the order.
The seller shall issue the buyer with proof of purchase in accordance with applicable law.
PERSONAL COLLECTION
Unless otherwise agreed for a specific order, the ordered day-old chicks shall be collected personally at:

The buyer is required to arrive for collection on the date and at the time stated in the order, order confirmation or other instructions provided by the seller.
The buyer is required to bring their own suitable transport crates or boxes appropriate to the ordered quantity and the conditions of safe transport.
The transport container must in particular:
allow sufficient access to air;
protect the animals against cold, overheating, wind and adverse weather conditions;
prevent the animals from escaping or being injured;
be clean and appropriate for the number of animals transported;
allow the journey to be as short and safe as possible.
The seller may refuse to hand over live animals if the buyer does not have suitable conditions for transport or if the handover could clearly endanger the health or life of the animals.
Such refusal shall not constitute a breach of contract by the seller where the reason for refusal was caused by the buyer's insufficient preparation.
Upon collection, the buyer is required to check the quantity, visible health condition and overall condition of the animals.
Responsibility for safe transport and subsequent care passes to the buyer upon collection, without prejudice to the buyer's statutory rights arising from defective performance.
FAILURE TO COLLECT AN ORDER
If the buyer knows that they will be unable to collect the order, they are required to contact the seller as soon as possible.
Due to the limited availability, biological nature of the goods and the fact that the order is linked to a specific date, it may not be possible to keep the order for later collection.
If the buyer fails to collect the order on the agreed date without prior notice, the seller may:
cancel the order;
offer the goods to another customer;
claim reimbursement of reasonably incurred costs where such a claim arises under applicable law;
require advance payment or a deposit for future orders.
This shall not affect any consumer rights that cannot be waived under applicable law.
DELIVERY OF GOODS
Transport of live animals is available only where expressly stated in the offer or individually agreed with the seller.
The conditions of transport, its price, date, place of delivery and responsibility for handover shall be communicated to the buyer before the conclusion or amendment of the purchase agreement.
The buyer is required to ensure that a person authorised to accept the goods is present at the place of delivery and can immediately provide appropriate care for the animals.
The seller may refuse transport or handover where compliance with veterinary, transport or other legal requirements cannot be ensured.
BUYER'S OBLIGATIONS AFTER TAKING OVER LIVE ANIMALS
After taking over the animals, the buyer is required to ensure in particular:
immediate placement of the animals in a suitably prepared environment;
appropriate temperature, ventilation and protection against draughts;
sufficient access to suitable water and feed;
an appropriate stocking density;
cleanliness, hygiene and biosecurity;
protection against stress, injury and adverse conditions;
compliance with veterinary and breeding rules.
Before collection, the buyer should familiarise themselves with the recommended feeding and care instructions available in the Documents section of the seller's website or provided to the buyer in another manner.
The seller is not liable for deterioration in health or death where caused after collection in particular by:
inappropriate temperature;
inappropriate or excessively long transport;
lack of water or feed;
unsuitable feed;
inadequate hygiene;
excessive stocking density;
unsuitable housing;
contact with sick animals;
failure to follow the recommended breeding procedure;
another circumstance attributable to the buyer.
This provision does not limit the seller's statutory liability for a defect that existed at the time of collection.
CONSUMER'S RIGHT OF WITHDRAWAL
A consumer generally has the right to withdraw from a contract concluded by means of distance communication within fourteen days unless the law provides for an exception.
The right of withdrawal may not be exercised in cases where it is excluded by law, in particular in relation to the supply of goods:
liable to deteriorate rapidly;
with a short shelf life;
made or modified according to the consumer's wishes;
irreversibly mixed with other goods after delivery due to their nature;
or where another statutory exception applies.
Given the biological nature of day-old chicks, their sensitivity to transport, the need for continuous care and the fact that they are linked to a specific date, live chicks cannot be returned after collection in the same way as ordinary consumer goods where a statutory exception from the right of withdrawal applies.
This does not affect the buyer's right to make a complaint where the animals had a defect at the time of collection for which the seller is liable.
Before the buyer takes over the goods, they may request cancellation of the order. The possibility of cancellation shall be assessed in particular with regard to the time of the request, the nature of the goods and whether the seller has already incurred reasonably necessary costs.
Where the consumer has the right to withdraw from the contract, they may send an unequivocal statement in particular:
by email to info@best-opava.com;
or in writing to the seller's registered office.
The consumer may use the model withdrawal form included at the end of these Terms and Conditions, but is not required to do so.
RIGHTS ARISING FROM DEFECTIVE PERFORMANCE
The seller is liable to the buyer for the goods being free from defects at the time of collection and corresponding to agreed or reasonably expected characteristics, taking into account their nature.
When assessing a defect in live animals, account shall be taken in particular of:
their biological nature;
natural differences between individual animals;
their health condition at the time of collection;
transport conditions;
the period that has elapsed since collection;
subsequent breeding conditions;
compliance by the buyer with recommended procedures.
A normal biological variation that does not prevent the ordinary intended use shall not constitute a defect, nor shall deterioration caused by unsuitable transport or care after collection.
The buyer is required to reasonably inspect live animals upon collection.
The seller recommends that any visible problem, discrepancy in quantity or visibly poor condition be reported immediately upon collection so that the condition can be verified without delay.
If a health issue becomes apparent only after collection, the buyer should contact the seller without undue delay.
A consumer's statutory rights shall not be restricted merely because the defect was not reported immediately where it could not have been discovered during a normal inspection.
Where a consumer makes a complaint, the seller shall issue written confirmation stating:
the date on which the complaint was made;
the content of the complaint;
the requested method of resolution;
the consumer's contact details.
After the complaint has been resolved, the seller shall issue confirmation of the date and manner of resolution or a written explanation for rejecting the complaint.
A consumer complaint shall be resolved within the statutory period unless the seller and the consumer agree on a longer period.
For the assessment of a complaint concerning live animals, it may be necessary to provide in particular:
the order number or order confirmation;
the date and time of collection;
the number of affected animals;
photographs or video;
a description of the transport conditions;
information about temperature, housing, feeding and watering;
where appropriate, a statement from a veterinary surgeon.
The requirement to provide such information serves to assess the cause of the problem and must not be used to unlawfully restrict the consumer's statutory rights.
COMPLAINTS
A complaint may be made:
in person at the seller's registered office or place of business where appropriate in view of the nature of the complaint;
by email to info@best-opava.com;
by telephone on +420 553 780 211 followed by the provision of the necessary information;
in writing to Best, spol. s r. o., Přemyslovců 449/60, Jaktař, 747 07 Opava, Czech Republic.
The buyer should state in the complaint in particular:
their name and contact details;
the order number or another proof of purchase;
identification of the goods concerned;
the number of affected animals;
a description of the problem;
the time at which the problem was discovered;
the requested method of resolving the complaint.
The seller shall assess each complaint individually according to the nature of the defect and applicable law.
Depending on the circumstances, the buyer may be entitled in particular to:
remedy of the defect, where possible;
replacement performance;
a reasonable reduction in the purchase price;
withdrawal from the contract;
another remedy provided by law.
The specific remedy depends on the nature and seriousness of the defect and on whether remedy is possible and reasonable.
SPECIAL PROVISIONS FOR BUSINESS CUSTOMERS
Where the buyer is a business customer, provisions of these Terms and Conditions intended exclusively for the protection of consumers shall not apply.
A business customer is required to inspect the goods as soon as possible after collection and notify the seller of any visible defects or discrepancy in quantity without undue delay.
A business customer is required to notify the seller of a hidden defect without undue delay after it could have been discovered with due care.
The seller's liability towards a business customer for indirect loss, loss of profit, loss of production or other consequential economic loss may be limited to the extent permitted by law and by individual agreement between the parties.
Such limitation shall not apply to damage caused intentionally or through gross negligence or in any other case in which limitation of liability is prohibited by law.
PERSONAL DATA PROTECTION
Information about the processing of personal data is provided in the separate Privacy Policy published on the seller's website.
The seller processes personal data in particular for the purposes of:
receiving and processing orders;
communicating with the buyer;
issuing accounting and tax documents;
complying with legal obligations;
protecting the seller's rights and legal claims.
The buyer is required to provide true, correct and up-to-date information.
ELECTRONIC COMMUNICATION
The buyer agrees to the use of means of distance communication when concluding the purchase agreement.
Any costs incurred by the buyer when using means of distance communication, such as internet connection or telephone charges, shall be borne by the buyer. Such costs shall not differ from the ordinary rates charged by the buyer's provider.
The seller may send the buyer information relating to the order to the email address or telephone number provided by the buyer.
OUT-OF-COURT RESOLUTION OF CONSUMER DISPUTES
The competent body for out-of-court resolution of consumer disputes arising from purchase agreements is:

A consumer may contact the Czech Trade Inspection Authority after first attempting to resolve the dispute directly with the seller.
The rules governing out-of-court resolution of consumer disputes and the relevant application form are available on the website of the Czech Trade Inspection Authority.
SUPERVISORY AUTHORITIES
Compliance with consumer protection obligations is supervised, within the relevant scope, primarily by the Czech Trade Inspection Authority.
In view of the nature of the goods sold, the competent authorities in specific areas may also include veterinary authorities, trade licensing authorities, personal data protection authorities, tax authorities or other public authorities.
FINAL PROVISIONS
Legal relations between the seller and the buyer are governed by the laws of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code, and Act No. 634/1992 Coll., on Consumer Protection, as amended.
The choice of Czech law shall not deprive a consumer of the protection afforded by mandatory provisions of the law of the country of their habitual residence where such law applies to the contractual relationship under private international law.
If any provision of these Terms and Conditions is invalid, ineffective or unenforceable, this shall not affect the validity of the remaining provisions.
The seller and the buyer undertake to give priority to resolving any disputes through mutual communication and an attempt to reach an amicable solution.
These Terms and Conditions enter into force on 11 July 2026.
